I know its not my gfx card, other games work fine for me. Any suggestions???

Well I tried downclocking my GPU/VRam. It helped it a bit, but it still occurs randomly on medium and high settings... I some articles on similar problems, seems to occur when the game runs out of video memory, or the vram is corrupted. I'm pretty sure my gfx card is fine, most other games run ok, albeit slower than they do when I boot up in XP.

What's your anisotropic filtering at? I enabled AF with my drivers and Halo 1 started doing that to me

Those are some bad artifacts. Is your videocard cool enough? How old is it? Any other games with this problem.

Those are some bad artifacts. Is your videocard cool enough? How old is it? Any other games with this problem. My 256 7600 go gfxcard is only 1 month old (RMAed my last one). It runs as cool as it always have except when I use vista, it runs generally around 67C when idling, but heats up to 83 to 87C when running games (this is when I disable desktop composition or else it idles at 75C). In xp it usually idles at 62C and heats up to 75 to 78 C when running games. Thats why I downclocked the GPU from 450Mhz (defualt) to 300 Mhz, and VRam from 350Mhz (default) to 266Mhz so it runs just as cool in vista, but game performance drops. But then again, this is the only game that I noticed to have this problem. I have tried several different versions of my gfxcard drivers, and they all SUCK. I just wish I could use my old XP drivers on vista, everything just works way better.

Try reinstalling your drivers. This only happens in H2V, right?
Edit: yeah,since it works in other games that may mean your drivers are too old for H2V.
